SE-approved Debt Sponsor

SUMMARY:
A leading financial services firm is in the process of establishing a JSE-approved Debt Sponsor business unit (the “Sponsor Business Unit”). Approval has already been obtained, and the business will leverage off an established debt private placement platform with strong market relationships.

The firm is seeking to appoint a suitably experienced Senior JSE Debt Authorised Representative / Approved Executive to take responsibility for oversight, governance, and regulatory compliance of its Debt Sponsor activities in line with the JSE Debt and Specialist Securities Listings Requirements (DSS Requirements).

POSITION INFO:
This role will initially be on a consulting / part-time basis, with time commitment aligned to business needs and expected to grow as the Sponsor Business Unit expands.

KEY RESPONSIBILITIES

• Ensure full compliance with JSE DSS Requirements
• Monitor sponsor engagements and ongoing obligations
• Stay abreast of regulatory developments and advise accordingly

• Review and approve documentation submitted to the JSE, including:
  • Programme memoranda
  • Pricing supplements
  • Announcements and compliance certificates
• Provide regulatory guidance on debt issuances and transaction structuring
• Participate in and sign off on sponsor declarations

• Act as designated signatory for sponsor declarations
• Ensure all regulatory submissions are accurate and compliant
• Take responsibility for representations made to the JSE

• Act as primary interface with the JSE Issuer Regulation Division
• Respond to regulatory queries and feedback
• Participate in regulatory calls and meetings
• Represent the firm in engagements with the JSE

• Assist in establishing internal policies and procedures for the debt sponsor function
• Develop compliance frameworks aligned to DSS Requirements
• Support preparation for regulatory reviews or inspections

• Provide internal training on DSS Requirements
• Support development of internal capability
• Supervise team members where required

• Ensure appropriate records and audit trails are maintained for all sponsor engagements
• Oversee documentation relating to approvals, declarations, and JSE correspondence

• Support the growth of the Sponsor Business Unit
• Participate in client meetings and transaction discussions
• Provide regulatory input in client engagements

REQUIREMENTS

• Approved JSE Debt Authorised Representative / Approved Executive
• Strong working knowledge of JSE DSS Requirements
• Experience in debt capital markets / listed debt instruments
• Experience interacting with the JSE Issuer Regulation Division
• Ability to act as sponsor signatory

• Experience within a Debt Sponsor, investment bank, or advisory firm
• Experience reviewing programme memoranda and pricing supplements
• Strong regulatory and compliance background

• High integrity and sound professional judgement

• Ability to operate independently at a senior level
• Strong communication and stakeholder management skills
