POSITION INFO:

Our client, a respected Chartered Accounting firm, is seeking an experienced Company Secretarial Administrator to join their Compliance Department. This is a legal and compliance-focused position — not a general secretarial or reception role. The successful candidate will manage statutory and regulatory requirements for a portfolio of entities in full compliance with the Companies Act and CIPC processes.

Ideal Candidate Profile:
We require a mature, professional individual with solid hands-on experience in company secretarial and CIPC compliance work. You should be confident working independently, understanding the legal implications of each process, and ensuring deadlines and statutory requirements are met without the need for additional training.

Qualifications & Skills:

• Relevant qualification in company secretarial practice, corporate governance, or a related legal/compliance field

• Recent, practical experience with CIPC requirements and company secretarial processes

• Familiarity with Companies Act provisions

• Experience with CIPC E-Services submissions (advantageous)

• Proficiency in MS Office (Word, Excel, Outlook)

• Experience with Greatsoft (advantageous)

• Valid driver’s licence and own reliable transport

Key Responsibilities:

CIPC Compliance & Submissions

• Register new companies

• Process company name changes

• Amend Memorandum of Incorporation (MOI)

• Update director appointments/resignations

• Convert entity types

• Process shareholder changes (share transfers, allotments, etc.)

• Amend registered and postal addresses

• Change financial year-ends

• Update auditor and accounting officer appointments

• File Annual Returns and supporting documentation

• Prepare Beneficial Ownership declarations

• Manage deregistration and reinstatement of entities

Statutory Records Management

• Maintain statutory registers (securities register, beneficial ownership register) on Greatsoft

• Review entity files for compliance with the Companies Act

• Ensure proper filing of signed resolutions, minutes, and secretarial documents

• Issue share certificates and record share transfers accurately
