Commercial Attorney

SUMMARY:
Must have experience in Company Law

POSITION INFO:

• Understand the internal general transaction process, timelines and documentation.
• Attend transaction briefings, and understand the rationale, scope and requirements in regard to the impending transaction.
• Assess the transaction applying due care, skill, risk-assessment to gain a deep understanding of the basis of the transaction, key factors, risk elements and methods of derisking the transaction.
• Complete a due diligence. This will include requesting, collating and assessing relevant supporting documentation and work with the counterparty to complete documentation gaps and/or inconsistencies and ask clarifying questions.
• Any and all remaining gaps and inconsistencies to be noted.
• Making recommendations as required.
• Facilitating meetings with counterparties.
• Solution orientated and easily able to make changes is response to various factors.
• Prioritising between urgent and important matters, and being able to communicate clearly and effectively to manage expectations.
• Preparation and drafting of any and all transaction related documents. Including and not limited to:

1. Expression of interest/Letter of Intent
2. Term sheets
3. Sale of Shares and Claims Agreement, Subscription Agreement, Joint Venture Agreement, Memorandum of Understanding/Agreement, Rental Agreements, Leases, Cession Agreement,
4. Board Resolutions
5. Share Resolutions
6. CM42
7. Letters and Notices
8. Company documents: Memorandum of Incorporation, Shareholders Agreement, Share Certificates, Share Register,
9. Any schedule/annexure thereto

• Assisting the directors to prepare for meetings such that they are well positioned to make sound decisions.
• Following up with counter parties and internal team as needed to meet deadlines.
• Prepare analysis, statistics, plans, strategy documents for presentation and discussion with directors and counterparties.
• Working with the Transaction team as required to assist and facilitate the transaction.
• Any other request which is lawful in nature.

• Commercial Law
• Matric
• Law Degree
• At least 3 years experience in Commercial Law
