SUMMARY:
The role of the Company secretarial Assistant is to provide primary support to the Company Secretarial department in respect of statutory compliance within group and its subsidiaries as well as administrative matters relating to the Board of Directors and the Executive Committee as specified by the Companies Act, King Code requirements and other relevant legislation

JOB DESCRIPTION:

Responsibilities:
Assist with statutory compliance requirements
  • Distribute the quarterly share movement report and review the director share movement.
  • Administers and coordinates all statutory requirements with regards to Group of Companies and identified joint venture partnerships.
  • Provide support to business with regards to statutory compliance
Regulatory Services
  • Ensures adherence to CIPC requirements with all statutory compliance requirements with regards to all Group of Companies. 
  • Administer and maintain all share registers for subsidiary companies and relevant associate companies.
  • Facilitates payment of applicable taxes on Securities Transfer Tax (STT).
Company Secretarial Administration
  • Support the Company Secretary with regards to compliance with JSE Listings Requirements, Companies Act and other relevant regulations and standards.
  • Provides administrative support with regards to company secretarial work across the group.
  • Maintains a proper administrative function within the department.
  • Scheduling of meetings and key Corporate Matters as per the Corporate Calendar - Board, Committee and selected subsidiaries.
  • Maintenance of the Corporate Calendar.
  • Document Management: Update and maintain all statutory document. scanning and filing of statutory documents and company records.
  • Approve company letterheads on an ongoing basis and provide feedback to Marketing department with regards to change requests.
  • Review, on a quarterly basis, all letterhead
Meeting Administration Process
  • Setting up and communicating submission deadline dates and liaise with all relevant stakeholders with regards to submissions.
  • Distribution of Committee Packs.
  • Circulate minutes and actions within reasonable time after meeting.
  • Obtaining signatures, and filing of minutes, attendance register, storage of packs
  • Responsible for minutes of identified subsidiaries within the Group as determined from time to time.
  • Attendance and preparation of board, board committees’ meetings and the AGM.

Governance Advisory Support

Requirements:

  • LLB Degree and / or CIS Professional Advanced Qualification
  • Minimum three to five years Company Secretarial experience for a public company.
  • Experience in a JSE listed environment advantageous.
