SUMMARY:
Our client, a multi-national bank in SA, has a brand new job opportunity for an Assistant Company Secretary to join their team. Based in Gauteng.

POSITION INFO:

Basic Requirements:

  • Bachelor of Law / Bachelor of Commerce or equivalent tertiary qualification
  • Completed (Chartered Institute of Secretaries) qualification (optional)
  • 6+ years in a Company Secretarial Role
  • Worked in the Banking industry

Attributes: 

  • Previous experience in a Company Secretarial role (including company law, corporate governance, and risk management) in the Banking industry-particular a foreign Bank
  • Professional and suitably skilled
  • Business acumen and ability to think beyond the core responsibilities of an Assistant Company Secretary

  • Strong Knowledge of legislation
  • Excellent communication skills
  • Attention to detail
  • Technical / Professional knowledge skills
  • Manage meetings

Main Duties: 

  • To assist with the arrangement and preparation of Executive Committee Meetings, notices of meetings, the agenda, record of proceedings, and minute taking- accurate, professional, and well written
  • Assisting the Company Secretary by incorporating best practice corporate governance processes and maintaining strong corporate governance frameworks in accordance with statutory requirements
  • To ensure compliance with the provisions of Companies Law and other regulatory frameworks
  • Attend to various applications and reports required by the Banks Act, Companies Act, JSE listing requirements, and other legislation.
  • Assist in the proper induction and orientation of new Executive Members
  • Liaising with external regulators and advisors such as attorneys, internal and external auditors.
