POSITION INFO:

Oceana Group Limited seeks to employ a suitably qualified and experienced Assistant Company Secretary. This role will provide support to the Group Company Secretary to ensure compliance and governance within the Oceana Group. This position reports directly to the Group Company Secretary and will be based at the Oceana Group Head Office in Foreshore, Cape Town.

Key Responsibilities

Company Secretarial Duties

  • Support to the Group Company Secretary, working independently as the key point of contact for the relevant subsidiary boards and supports the GCS with the main listed Board.
  • Delivers company secretarial services as per legislative requirements.
  • Organise and administers the smooth running of meetings, producing accurate minutes and resolutions for all subsidiary entities and trusts.
  • Sets up new companies and trusts, where required.
  • Provides general support – maintenance of databases of information, Authorities Frameworks etc.
  • Maintains statutory records, registers and lodges the necessary returns to ensure compliance with the Companies Act, Trust Property Control Act and related legislation.
  • Maintain the OGL and subsidiary Board Calendar and manage meeting invitations.
  • Deep knowledge of the operation of CIPC to ensure the business remains compliant with applicable legislation and regulations.
  • Management of the filing of Annual Returns process.
  • Remain abreast of all changes in governance and regulatory environment in SA and internationally.
  • Identify all amendments to legislation, draft legislation and new legislative that impact or could impact the governance universe.
  • Provide technical input on proposed changes to relevant legislation.
  • Report to and make recommendations regarding the development of policies and procedures to improve the governance function.
  • Ensure consistent interpretation and implementation of legislative requirements.
  • Investigate non‐compliance with applicable legislation, policies and procedures.
  • Assists with Audit requests, as required.

Reporting

  • Co‐ordinate the distribution and printing of the Integrated Report
  • Assists with preparing and ancillary documents for the AGM and other corporate actions as required.
  • Prepare, pay and reconcile all invoices pertaining to the management of the function, including the suite of documents for the financial year e.g. Integrated Report and notice of AGM.
  • Prepares Compliance Reports.
  • Prepares monthly updates on statutory entities for GCS and other stakeholder.

Registrar Interactions

  • Attend registrar meetings.
  • Under the direction of the GCS, liaise with Share Registry re: agreed projects; co‐ordinate with registrar and sponsors on Dividend announcements.
  • Liaise with Share Registry re: shareholder queries by email, post or telephone.

Corporate Website

  • Conduct a regular audit of the website to ensure that the governance, Board members, Board Committee pages are up to date.
  • Ensure that all SENS announcements are on the website and if any other pages need updating, information is supplied by relevant parties and updated by the Communications Team.

Other

  • Develop, build and maintain strong relationships with the business to enhance commercial acumen and thereby enable more effective contribution.
  • Lead Secretarial projects as requires, ensuring a relentless focus on simplicity, agility and strong risk management.
  • Contribute to the establishment of internal Company Secretarial procedures, guidelines and templates.
  • Assist in identifying, analysing and reporting on the regulatory developments and best practice corporate governance.
  • Where opportunities arise, partner with the business to assist with strengthening governance practices.
  • Reconcile budget and manage accounts.

Minimum Requirements

Qualifications and Experience

  • At least 3 years working experience in a corporate secretarial, legal or other relevant environment.
  • Relevant degree or equivalent qualification
  • CIS or equivalent qualification would be advantageous.
  • Experience in a listed environment advantageous.
